TaskFlex – Pro (Sole Proprietor) Terms & Conditions

Important: These Terms & Conditions apply to all service providers (“Pros”) who create a TaskFlex account. By signing up, you confirm that you operate as a self-employed independent contractor / sole proprietor and not as an employee of TaskFlex.

This Agreement (“Agreement”) governs your access to and use of the TaskFlex platform as a service provider (“Pro,” “you,” or “your”). “TaskFlex,” “we,” “our,” or “us” refers to TaskFlex LLC and its affiliated entities. By creating a Pro account, you acknowledge that you have read, understood, and agree to be bound by this Agreement in addition to the TaskFlex Terms of Service and Privacy Policy.

SECTION 1 — INDEPENDENT CONTRACTOR STATUS

By registering as a Pro on TaskFlex, you expressly acknowledge and agree that:

  • You operate as a sole proprietor / self-employed independent contractor.

  • You are not an employee, agent, partner, joint venturer, or representative of TaskFlex.

  • You retain full and exclusive control over how, when, and where you provide services.

  • You supply your own tools, equipment, materials, vehicle, phone, and other resources needed to perform services.

  • TaskFlex does not set your working hours, supervise your work, or guarantee any amount of income or jobs.

 

Nothing in this Agreement shall be construed to create an employer–employee relationship, partnership, franchise, joint venture, or agency relationship between you and TaskFlex.

SECTION 2 — BUSINESS, TAX & LICENSING RESPONSIBILITIES

As a self-employed Pro, you are solely and fully responsible for your own business obligations, including but not limited to:

  • Filing, reporting, and paying all applicable federal, state, and local taxes.

  • Maintaining all required business licenses, registrations, contractor or trade licenses, and permits.

  • Carrying any recommended or legally required insurance (e.g., general liability, professional liability, workers’ compensation).

  • Complying with all relevant labor, safety, building, and consumer protection laws in the areas in which you work.

  • Ensuring any helpers or subcontractors you engage comply with applicable law and have workers’ compensation coverage where required.


TaskFlex does not provide tax advice, legal advice, insurance, workers’ compensation, unemployment benefits, health benefits, or retirement benefits. No payroll or tax withholdings will be made by TaskFlex on your behalf.
 

SECTION 3 — USE OF THE TASKFLEX PLATFORM

By using the Platform as a Pro, you agree that:

  • TaskFlex is a technology marketplace that connects you with potential customers (“Customers”).

  • TaskFlex does not guarantee any minimum number of leads, jobs, or income.

  • You may freely accept or decline any job request without penalty from TaskFlex, though repeated declines or no-shows may affect your visibility.

  • You will provide accurate and honest information in your Pro profile, including your skills, experience, service areas, and pricing where applicable.

  • You will only accept jobs you are qualified, experienced, and legally permitted to perform.

SECTION 4 — PAYMENTS & COMMISSION

TaskFlex facilitates payments between Customers and Pros. By using the Platform, you authorize TaskFlex (through its payment partners) to:

  • Collect payment from Customers for services you perform.

  • Deduct a platform commission (typically between 10% and 20%, depending on category or promotion).

  • Disburse the remaining balance to you in accordance with TaskFlex’s payout schedule and policies.

You agree to:

  • Maintain accurate payout and banking information in your Pro account.

  • Resolve any bank-related or account-related issues directly with your financial institution.

TaskFlex is not responsible for delays caused by banks, payment processors, chargebacks, technical issues, or inaccurate payout details you provide.

 

4.1 No Off-Platform Payments
You expressly agree that you will not:

  • Request or accept cash or direct payment from Customers for work sourced through TaskFlex.

  • Offer discounts in exchange for off-platform payments.

  • Encourage or solicit Customers to book future work outside of TaskFlex in order to avoid TaskFlex fees.

 

Any attempt to circumvent the Platform’s payment or fee structure may result in immediate suspension or permanent deactivation of your account.

SECTION 5 — PROFESSIONAL CONDUCT

As a Pro on TaskFlex, you agree to maintain high standards of professionalism, including but not limited to:

  • Arriving on time or promptly notifying the Customer if you are delayed.

  • Communicating clearly, respectfully, and professionally with Customers and TaskFlex support.

  • Respecting Customer property, privacy, and house rules.

  • Maintaining a clean and orderly work area and cleaning up reasonably after your work is completed.

  • Refraining from harassment, discrimination, abusive language, or threatening behavior.

  • Not consuming alcohol or illegal substances before or during a job.

SECTION 6 — SAFETY & WORK RESTRICTIONS

Safety is your responsibility. You agree to:

  • Follow all applicable OSHA and state safety guidelines.

  • Use appropriate personal protective equipment (PPE) such as gloves, masks, goggles, and footwear when needed.

  • Use tools, ladders, and equipment in a safe and lawful manner.

  • Refuse work that is unreasonably dangerous or beyond your qualification or licensing.


You may not perform tasks that are unsafe, illegal, or require licensing that you do not possess, including but not limited to:

  • Electrical work requiring a state or municipal electrical license.

  • Plumbing, gas, or HVAC work requiring trade licensure or permits.

  • Roofing or structural changes requiring permits or specialized training.

  • Major demolition or work involving load-bearing structures without proper credentials.

SECTION 7 — LIABILITY WAIVER & INDEMNIFICATION

You understand and agree that you work entirely at your own risk. To the maximum extent permitted by law, you hereby waive and release TaskFlex LLC, its officers, employees, and affiliates from any and all claims, demands, losses, damages, or liabilities arising out of:

  • Injuries you sustain while traveling to, from, or performing a job.

  • Damage to your own property, tools, or equipment.

  • Hazards or dangerous conditions encountered at Customer locations.

  • Disputes with Customers or third parties.

  • Any consequences of your own actions, omissions, or negligence.

 

You further agree to indemnify and hold TaskFlex harmless from and against any and all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your performance or failure to perform services for Customers.

  • Your violation of this Agreement, the TaskFlex Terms of Service, or any applicable law.

  • Your negligence, misconduct, or intentional wrongdoing.

SECTION 8 — DAMAGE & CUSTOMER CLAIMS

You are solely responsible for any damage or loss caused by your work, including but not limited to:

  • Damage to Customer property or third-party property.

  • Improper installation, repair, or construction work.

  • Breakage, spills, or accidental damage.

  • Theft or disappearance of items, if attributable to your actions.

 

Customers may make claims directly against you. TaskFlex may, but is not obligated to, assist with dispute resolution. TaskFlex does not guarantee refunds, credits, or resolutions and bears no responsibility for the outcome of disputes.

SECTION 9 — BACKGROUND CHECKS & VERIFICATION

TaskFlex may require identity verification, background checks, or additional documentation at any time. You agree to cooperate with such requests as a condition of maintaining an active Pro account.

Passing a background check or verification process does not guarantee platform access and may be reconsidered at any time in TaskFlex’s discretion.

SECTION 10 — ACCOUNT SUSPENSION & TERMINATION

TaskFlex may suspend, restrict, or permanently deactivate your Pro account, with or without notice, for reasons including but not limited to:

  • Unsafe or illegal conduct.

  • Fraud, misrepresentation, or false information.

  • Repeated cancellations, no-shows, or chronic lateness.

  • Harassment, discrimination, or abusive behavior toward Customers or TaskFlex staff.

  • Off-platform solicitation or attempts to bypass TaskFlex fees.

  • Consistent negative feedback or unresolved customer complaints.

 

You may close your account at any time, but remain responsible for any accepted jobs, obligations, or disputes that arose prior to closure.

SECTION 11 — STATE COMPLIANCE ADD-ONS (NY, PA, CA, FL, NJ)

If you accept jobs in the states below, you acknowledge that you are solely responsible for complying with all relevant state and local contractor, licensing, and consumer laws.

11.1 New York (NY)

  • You must comply with NYC Department of Buildings rules and any local licensing requirements.

  • No electrical, plumbing, HVAC, or structural work may be performed without proper New York licensing.

  • You are responsible for permits where required by NYC or other municipalities.

 

11.2 Pennsylvania (PA)

  • You must comply with the Pennsylvania Home Improvement Consumer Protection Act (HICPA), including registration where applicable.

  • You may not perform regulated trades without required licenses.

  • You must follow municipal permit rules for structural, electrical, plumbing, or major work.

 

11.3 California (CA)

  • You must comply with California Contractors State License Board (CSLB) rules.

  • A CSLB license is required for most jobs where the combined labor and materials exceed $500.

  • You must follow Cal/OSHA safety regulations and provide workers’ compensation if you employ others.

 

11.4 Florida (FL)

  • You must comply with Florida DBPR and county contractor licensing requirements for regulated trades.

  • You must obtain required permits for building, mechanical, electrical, or plumbing work.

  • You are responsible for complying with heat and outdoor safety standards.

 

11.5 New Jersey (NJ)

  • You must comply with New Jersey Home Improvement Contractor registration rules where applicable.

  • You must comply with the New Jersey Consumer Fraud Act (CFA), including truthful representation and fair dealing.

  • No licensed trade work (plumbing, electrical, HVAC, etc.) may be performed without valid NJ licenses.

  • For jobs requiring a written contract under NJ law (e.g., many jobs over $500), you acknowledge that the TaskFlex booking details serve as the written agreement.

 

TaskFlex does not independently verify your licenses or registrations. You accept full responsibility for compliance in any state or locality where you choose to work.

SECTION 12 — ACCEPTANCE OF TERMS

By creating and using a Pro account on TaskFlex, you confirm that:

  • You are a self-employed sole proprietor / independent contractor.

  • You understand that TaskFlex is not your employer and does not provide employee benefits.

  • You accept all risks associated with performing services for Customers.

  • You agree to comply with all sections of this Pro Terms & Conditions Agreement.

  • You agree to the TaskFlex Terms of Service and Privacy Policy.

 

Sign-Up Checkbox Language (for your form):
“I confirm that I am a sole proprietor / independent contractor and not an employee of TaskFlex. I understand that I work on my own behalf and at my own risk. I have read and agree to the TaskFlex Pro Terms & Conditions, Terms of Service, and Privacy Policy.”
