TaskFlex – Terms of Service

Welcome to TaskFlex (“TaskFlex,” “we,” “our,” or “the Platform”). TaskFlex operates as an online marketplace designed to connect individuals and businesses seeking home or on-site services (“Users”) with independent service professionals (“Pros”). By accessing or using any part of the TaskFlex website, mobile application, or related services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.

1. Nature of Services
TaskFlex is not a service provider, employer, contractor, or staffing agency. TaskFlex does not perform any services directly. Instead, TaskFlex provides:

A digital marketplace for Users to request services;
A system for Pros to accept bookings; and
A secure framework for processing payments between Users and Pros.

All services are performed exclusively by independent Pros. TaskFlex does not supervise, direct, or control the work of Pros and does not guarantee any particular outcome or quality of service.

2. Independent Contractor Relationship
Pros acknowledge and agree that:

You are an independent contractor, not an employee, partner, joint venturer, or agent of TaskFlex.
You retain full control over your schedule, tools and equipment, methods of performing services, and, where applicable, your pricing.
You are solely responsible for all taxes, business registrations, licenses, permits, insurance (including liability and workers’ compensation, if applicable), and compliance with all applicable laws and regulations.
TaskFlex does not provide workers’ compensation, unemployment insurance, health insurance, retirement benefits, or any other employee benefits.

3. User Responsibilities
Users agree to:

Provide accurate, complete, and honest job descriptions and property information;
Ensure a reasonably safe environment for Pros to perform services;
Comply with all local, state, and federal laws and regulations;
Pay in full for services booked through the Platform; and
Refrain from soliciting or hiring Pros outside of the Platform for the purpose of avoiding TaskFlex fees (“platform circumvention”).

4. Booking, Pricing & Payments

4.1 Payment Processing
All payments are processed via our third-party payment provider. By submitting a booking, Users authorize TaskFlex (through its payment processor) to charge the selected payment method for the quoted or adjusted amount, including applicable taxes and fees.

4.2 Commission Fee
For each completed booking, TaskFlex deducts a transparent platform commission (typically between 10% and 20%, subject to change with notice). The remaining balance is made available for payout to the Pro in accordance with the payout schedule.

4.3 Pro Compensation
Pros acknowledge that TaskFlex’s obligation is limited to transferring amounts collected from Users, minus applicable fees. TaskFlex is not liable for delays or failures caused by the payment processor, banking institutions, or inaccurate payout information provided by Pros.

5. Cancellations & No-Shows

5.1 User Cancellations
Unless otherwise stated on the Platform:

Cancellations made within one (1) hour of booking may be eligible for a full refund;
Cancellations made after a Pro has been assigned may incur a cancellation fee to compensate the Pro for lost time; and
Same-day cancellations are generally non-refundable.

5.2 Pro Cancellations
Pros are expected to honor accepted bookings. Repeated cancellations, no-shows, or late arrivals may result in reduced visibility in search results, temporary suspension, or permanent removal from the Platform.

6. Background Checks
TaskFlex may, at its discretion, engage third-party providers to conduct identity verification or background checks on Pros. A completed check is not a guarantee of safety, character, or legal compliance. TaskFlex disclaims liability for the actions or omissions of any User or Pro.

7. Prohibited Activities
You agree not to:

Misrepresent your identity, qualifications, or authorization to act;
Engage in harassment, discrimination, or abusive conduct;
Use the Platform for fraudulent, illegal, or unsafe purposes;
Attempt to reverse engineer, disrupt, or compromise the Platform;
Bypass or attempt to bypass TaskFlex’s payment or fee systems; or
Post or transmit harmful, defamatory, obscene, or infringing content.

8. Limitation of Liability
To the maximum extent permitted by law, TaskFlex is not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, business interruption, loss of data, personal injury, property damage, or claims arising from services performed by Pros or interactions between Users and Pros.
TaskFlex does not guarantee the quality, safety, legality, or outcome of any services and is not responsible for any disputes arising between Users and Pros.

9. Dispute Resolution
TaskFlex may, but is not obligated to, assist in mediating disputes between Users and Pros. Any refunds or adjustments are made at TaskFlex’s sole discretion.
Where permitted by law, any dispute arising out of or relating to your use of the Platform or these Terms shall be resolved through binding arbitration or other alternative dispute resolution process, rather than in court, except for claims that may be brought in small claims court.

10. Termination
TaskFlex may suspend or terminate any account, with or without notice, for conduct that violates these Terms, applicable law, or is otherwise harmful to the Platform, Users, or Pros.
You may close your account at any time; however, you remain responsible for any outstanding obligations, including payments or disputes related to past bookings.

11. Modifications
TaskFlex may update these Terms of Service from time to time. The updated version will be posted on the Platform with a revised “Last Updated” date. Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
